Wholesale Trading & Settlement Rules
Institutional policies governing wholesale lots, Zupper guarantee settlement, and brand integrity
Legally Binding Wholesale Offers & Commitments
Every submitted proforma offer or accepted wholesale purchase constitutes an irrevocable commercial agreement. Defaulting on accepted orders results in immediate forfeiture of security deposit and entity review across the Zupper B2B network.
Direct Wholesale Proforma & Zupper Guarantee Settlement
Upon offer acceptance, buyers are issued a proforma invoice and pay directly to Zupper. Zupper manages end-to-end logistics, verified QA manifests, and fulfillment. Payment is securely transferred to the seller once the buyer inspects and accepts delivery.
48-Hour Dock Inspection & Manifest Protocol
Buyers must inspect shipments and report any SKU mismatch or verified physical discrepancy against the certified manifest within 48 hours of dock delivery before settlement release.
Authorized Channel & Brand Resale Compliances
Buyers agree to abide by OEM brand agreements. Under no circumstance may lots marked as "OEM Restricted" be advertised below brand minimum advertised price (MAP) or listed under unapproved direct channels.
